Had a 2000 mustang, and it served me well from 100k miles, all the way up to 125k miles when i sold it. Very solid car.

I'd go for a lower mileage Mustang. Lately this has been a car problem sight.

Honestly, I'd reconsider getting a v6. It'd be easier to swallow if you were going from a 96-98 GT to a 01+ v6, but a 5 liter cobra is going to be night and day, and not in a good way.

What's your budget after selling the cobra? You can probably find an SN95 GT or possibly a 99-00 GT for what you would pay for a 01+ v6 if you play your cards right.
