It'll bolt in. But getting it run will not be easy. The 64 lacks the sensors and locations for sensors that the 94 engine needs to function. There will also be issues with the electrics. Your best bet will be to strip the Fuel Injection and electronics off the 94 engine and convert it to a carb. Easier still would be to go to junkyard and pull a carb'd 302 from a wreck.

Fodaddy is correct about all the wiring and computer chips you will need to run the car correctly if you want to leave it untouched. The best thing to do in a case like this is to have a complete donor car available and switch the entire system over complete with new wire harness and all. I would contact a Mustang shop such as Mustang Country in Lakewood, California and talk to them about a conversion kit they might have.

The 260, 289, 302 are all the same block. That should bolt right up.
