Trans/clutch Problems

I have an 01 cobra conv. Today i was driving to the store, just granny driving because it was raining and cops were everywhere(i dont beat on my car often either) but just driving i noticed shifting from 2nd to 3rd i felt a little grind then 3rd to 4th. I thought i was just pressing in the clutch all the way, ive been half asleep for the past few weeks(rough at work). Then it started happening more often, now it does it just about all the time when i up shift, not really when i down shift. so i was driving around just to get a feel of what was going on(not going past 40). Now it happens whenever i press in the clutch and try to up shift also when im in gear and press in the clutch. i think it also did it when i was driving and put it in neutral pressed the clutch and revved it a little. The clutch isnt that old, but my guess is that the clutch is burned out or the flywheel may be bad. But im going to be pretty upset if its my trans. Any ideas?
Thank You from a mustang enthusiast and a loyal marine.
