What all do i need to get to help my car breath better... o know headers but what else will help?

CAI, bigger MAF, bigger TB, better flowing upper/lower intake, port those intakes, higher flowing heads, port those heads, headers, midpipe, catback. Anything that "chokes" the engine in any way that can be opened up will allow it to breath better.

TB = throttle body
You dont really need to change the MAF or TB until you're making more power and need that extra flow. Id start with your exhaust system and a Cold air induction system first. That should open stuff up for now. Later look into either gt40 upper/lower intakes (what the cobra has) or something like a trickflow, edelbrock, etc. setup.
Uprgrading the Heads/Cam/Intake can take you over 300rwhp with the right setup on these 5.0's

TB is short for throttle body. It all really depends on how fast you want and can afford the car to go. You really need to kind of plan ahead to know what parts to buy. For example, if you want to some day go with a set of aftermarket aluminum heads, cam and intake and shoot for around the 300 rwhp mark, you will need a slightly larger throttle body than if you just want to use stock H/C/I (which by the way is short for heads, cam and intake). Depending on the how much power you make, you may require larger than stock fuel injectors, which means you will also need a mass air meter calibrated for these injectors.
Basically, you don't want to end up having to buy parts more than once. This being said, you can't go wrong by starting with the exhaust. A good set of headers (you may also want to consider long tubes if you don't mind the extra headaches that come along with them), mid-pipe and catback won't hurt you on a stock motor (will actually help), but also still won't be a restriction if you go for a wilder combo. A cold air intake is also something that will remain useful no matter what combo you go with, unless by chance the mass air meter you go with comes coupled with its own air filter (like the Pro-M 77mm I have).
After that, an upper/lower intake combo would be another good idea that will be useful on a stock motor. This is also where you need to start planning ahead. For example, I'd recommend the Edelbrock Performer for both a stock motor and a fairly mild H/C/I set-up. But... if you eventually want something that is gonna turn much over 5800-6000 RPMs, you'll probably want the Performer RPM instead.
Sorry if this doesn't help much, but it's really hard to start recommending parts without an idea of what your end goals for the car are.

i want a street legal car that i want for 1/4 mile... when i street race we go to a road that nobody ever goes on and mark off 1/4 mile and go from stand still... so im lookin for prolly quickest 0 - 120 or so...
another words what do u suggest i do first...i have exhaust and im gonna get some flowtech headers then what

your best bet would be to probably try and find some GT40 intakes on ebay... they go for about 350 or so for the upper and lower. On top of that, Id say maybe even gt40p heads (dont know what they run for). Aluminum heads are better, but they cost a lot... gt40s are a nice setup though and shouldnt kill the wallet. As far as a cam, thats up to you... you can go with an alphabet cam (b303, e303, x303, etc) or something more custom ground to fit your specs. I know comp cams and crane both make nice camshafts for our motors. A cam is a pretty involved process, and when you get new heads... youll more than likely need new rockers, valve springs, and other misc. things that just keep adding up the dough. Best bet I think would be to save for something like the Trickflow Stage 1 package and get it all in one bundle.

I'll second that. It's a nice set-up, relatively cheap, and has been proven to make good power while still remaining very streetable.
Just to give you some idea of how much you can get into spending... I spent right over $2,000 just on the heads, cam and intake. That's not even beginning to consider all the other supporting mods. And they add up very quickly.

Here's a couple links to the kits. They have two different ones. The first one comes with a Street Heat intake while the second comes with a Track Heat intake. The Track Heat will make a little more power at high RPMs with a little less torque low in the power band.

Also, notice it comes with all the parts needed for the install all the way down to the gaskets. It may not seem like that would make a big difference, but little things like that add up in cost very quick. This is probably the cheapest aluminum H/C/I package you'll find without buying used parts. I would think it would easily be capable of 300 rwhp with the right supporting parts (the Track Heat version in particular).

biggest thing IMO when doing this stuff is planning. Don't go get some stuff then late down the lines either decide u don't wanna run it or have to replace it b/c its not enough youll end up losing money on the resale. The trickflow kits are great and with a good tune 300 rwhp is very common. You will have to get a tune though unless u stay with your stock cam or get a very very mild cam so that would be another thing to consider.
