The only time i've had the theft light and CEL flash together is when i used my doorlock-only key to try and start my car.
Only thing i can think of.

If you have a second key try it, that is what happens when the door key I have for the F650 is used in the ignition. Your key might be going bad. Also changing out the battery will not help the chip, it is seperate from the electric functions of the key.

That's anti theft at work. I agree with the above conclusions. When you say changed the battery do you mean in the remote or in the car? Changing the battery in the remote or, at least checking its voltage and verifying is step one with anything like this. This is why I make multiple keys and program them for all modern cars. Get a glitchy one and it'll do this. If you've got just one key, you may be out of luck and need to get the car to the dealer..

The Chip is self contained, I have had my Fob on my Mustang Key pulled apart because the panic button was stuck on and everytime you got close it would go off. All they did was take a Key and the Fob and make it into one thing, still separate though.

This can be because your PCM is not communicating or is not powered up. Check all the fuses that power the PCM.
Check this out...
